For the conclusion of a contract of sale and scope of supply commitments re-
sulting from this conclusion it is relevant that both contracting parties make
corresponding declarations of intention in writing. Should such written decla-
rations of intention be absent the only written acknowledgement of order of
supplier will be legally binding. In this connection the conditions of sale and
delivery mentioned below are applied as agreed upon.
All deliveries and performances – henceforth as well – of CONTACT GmbH in-
cluding additional performances such as consultancy before and after con-
clusion are exclusively effected by virtue of the following conditions, also for
any kind of business of adjustment. The buyer´s conditions of purchase are
hereby contradicted. They do not engage CONTACT either if we do not cont-
radict again when the contract is concluded. It is understood that the general
conditions of delivery and payment are accepted by receipt ofour goods at
the latest.
Offers of CONTACT GmbH are not binding. Conclusions and agreements –
especially as far as they differ from our conditions – will not be binding for us
until they are confirmed by us in writting.
These conditions are also applied for sales on the basis of trade terms, espe-
cially those of Incoterms. For sales on the basis of one of these contract for-
mula of Incoterms those Incoterms as may from time be established are rele-
vant. However, the trade terms are only applied in so far as there are not taken
any other regulations in these conditions or in particular agreements.
Documents, illustartions, drawings and indications of weight belonging to the
offer of CONTACT GmbH, only prevail approximately. Modifications of each
kind will be reserved in the interest of technical progress, the latest experien-
ces and improvements. Exceptions need to be confirmed in written form.
CONTACT explicitly reserves the right of ownership and copyright of all docu-
ments. Offers and documents belonging to them must not be accessible to
third parties without our written consent. By request these documents, dra-
wings, samples, etc. belonging to the offer have to be given back immediate-
ly.
In case of special manufacturing a variation of + 10 percent of the required
quantity are binding for the purchaser. This is also applicable for partial quan-
tities.
In case of delivery prices are only applicable for the respective order confir-
med ex works excluding packing as far as nothing else has been determined
in writing. In case of general changes of production costs until delivery day
CONTACT GmbH reserves the right to price corrections. Proces are under-
stood plus legal VAT.
If no other arrangements are made, samples will only be delivered if they are
charged. All samples remain CONTACT´s property until they are fully paid.
We reserve the right to surcharge increased costs of materials by correlating it
with the quotation of raw materials at tat time. If unforreseeable increases ari-
se in labour or transport costs, taxes or charges between conclusion of con-
tract and delivery, CONTACT is entitled to make a price adjustment according
to these factors.
The minimum order value is DM 500,– net.
The objects of deliveries (including conditional commodities) remain
CONTACT´s property until all claims due against the buyer and resulting from
buisness contracts, are satisfied. As far as the value of all security rights due
to CONTACT GmbH exceeds the amount of all secured claims by more than
20 percent CONTACT will release a respective part of security rights by re-
quest of the purchaser.
As long as reservation of ownership exists, pledge or assignment by bill of sa-
le are forbidden to the buyer and resale is only permitted by resellers will be
paid by this customer or will reserve the right that property does not go over
to the customer until the latter has completely satisfied his liabilities to pay.
a) If the purchaser resells conditional commodities he will already, for reasons
of security, assign his future claims to CONTACT resulting from the resale to-
wards his customers, with all subsidiary rights – including any claims of balan-
ce, without the need of further special declarations. If conditional commodity
is resold together with other objects without agreeing on a price per unit for
the conditional commodity the purchaser transfers to the supplier Contact
that part of total price required which corresponds to the price of conditional
commodity charged by the supplier and by giving that part priority over remai-
ning claims.
b) In case of satisfactory proof of a legitimate interest the purchaser has to gi-
ve the necessary informations and to hand over the required documents to
the supplier CONTACT GmbH to be able to assert his rights towards the cu-
stomer.
c) Until revoked the purchaser is entitled to collect assigned debts resulting
from resale. In case of an important reason, especially in case of default of
payment, stoppage of payment, opening of a procedure of insolvency (bank-
ruptcy, settlement, total execution), bill protest or if there are comparable ju-
stified indications which give notice of insolvency of the purchaser, the sup-
plier is entitled to revoke the purchaser´s authority to collect. Besides, after
previous threat of disclosing assignment for security or realizing assigned
debts and by observing an appropriate period, the supplier can disclose as-

your revocation number 3.c) is applicable accordingly.
d) If conditional commodity is combined with properties or movables by the
purchaser, the purchaser will also transfer to the supplierCONTACT GmbH his
claims to which he is entitled as a compensation for the combination, with all
subsidiary rights for reasons of security. The claims amount to the relation of
the value of combined conditional commodity to the remeining commodities
at the moment of combination without the need of further special declarati-
ons.
In case of seizures, distraints or other orders or interferences of third parties,
the purchaser has to inform the supplier CONTACT GmbH immediately.
When the purchaser culpably offends against essential contractual duties, es-
pecially in case of default of payment, the supplier CONTACT GmbH is entit-
led to take goods back after letter of reminder. The purchaser is obliged to re-
turn goods. In taking back or asserting reservation of ownership or in seizing
delivery item by the supplier CONTACT GmbH should have declared this ex-
plicitly. After previous threat the supplier CONTACT GmbH is entitled to relea-
ze conditional commodity taken back and to satisfy himself from the profits
by crediting against outstanding claims.
As far as no adverse agreements are made in writing payments have to be
made immediately free domicile of the supplier CONTACT GmbH. In case of
default penal interest amounting to the interest rate for overdraft facility custo-
mary in banking are charged plus an adequate processing fee. The first day of
time limit for payment is the date of issue of invoice. In case of default of the
purchaser the supplier CONTACT GmbH can require immediate payment
even of all debts due later regardless of adverse conditions.
The purchaser can only offset with such claims which are determined in an
uncontested or valid way. When payments are held back the claim has to be
based on the same contractual relationship.
Checks and bank credit transfers are only accepted on account of payment
until they are lawfully discharged. Bills are only accepted on account of paym-
ent by previous agreement. Discount charges and interest have to be refun-
ded to CONTACT GmbH. Due date of payments is the day when CONTACT
has them at it´s disposal without reservation.
Unless otherwise agreed upon invoices are due to net payment within 30 days
of the delivery date, if not otherwise stipulated. A 2% discount is allowed for
payment within 10 days.
Terms of payment differing from those mentioned in paragraph V.1 to 3 need
explicit written confirmation by the supplier CONTACT GmbH to be valid.
Delivery deadline begins with the day on which purchaser and supplier
CONTACT GmbH have agreed on the order in writing. The observance of the
delivery deadline requires punctual recipt of all documents to be delivered by
the purchaser such as necessary approvals, clarification and approval of
plans in time, the observance of terms of payments and other conditions. If
these conditions are not satisfied for reasons not to be justified by us, delivery
period will be extended accordingly. Delivery deadlines stated in the acknow-
ledgement of order are mentioned to the best of our belief, but they are with-
out guarantee. CONTACT is only responsible for the observance of delivery
when it explicity assumes warranty. Should these obligations not be satisfied
in time there will be an appropriate extension of delivery deadline without an
obligation of the supplier to demages.
Delivery deadline is applied subject to unforeseen events no matter if they oc-
cur in the factory of CONTACT GmbH or of ist subcontractors – such as cases
of force majeure, mobilization, war, reject of an important workpiece or other
delays through no fault of their own during transport, breakdowns, strikes and
